1. Definitions
In these Terms and Conditions, the following definitions apply:
- "Audition Atlas," "we," "us," "our" refers to the Audition Atlas platform and its operators.
- "Website" refers to auditionatlas.com and all associated pages and subdomains.
- "Services" refers to all services offered through the Website, including the waitlist, research survey, and, upon launch, the full platform.
- "User," "you," "your" refers to any individual who accesses, browses, or uses the Website or Services in any way.
- "Pre-launch phase" refers to the current period of research and development prior to the full commercial launch of the Audition Atlas platform.
- "Content" refers to all text, data, information, graphics, software, and other materials available on the Website.
- "User Submissions" refers to any information, responses, or content submitted by Users, including survey responses and email addresses.
- "Insider Reports" refers to anonymous community-generated content submitted by verified subscribers regarding dance company audition practices, hiring status, and related information, available as a feature upon platform launch.
2. Acceptance of terms
By accessing or using the Website or any of the Services, you represent and warrant that:
- You are at least 16 years of age, or have obtained verifiable parental or guardian consent if you are under 16
- You have the legal capacity to enter into a binding agreement
- You will use the Website and Services only for lawful purposes and in accordance with these Terms
- All information you submit is accurate, truthful, and your own
- You are not prohibited from receiving our services under any applicable law
3. Pre-launch research phase
Important: Audition Atlas is currently in a pre-launch research and development phase. The Website and all information on it represent a work in progress. Features described on the Website are planned but not yet available. No subscription fees are being collected at this time.
3.1 Nature of the research
During the pre-launch phase, we are conducting user research to inform the development of our platform. By completing our research survey, you acknowledge and agree that:
- Your participation in research is entirely voluntary
- You may withdraw from the research at any time without consequence by ceasing to complete the survey or by contacting us
- Your anonymised survey responses may be used to make product development decisions
- The information gathered during this phase will be used internally and will not be sold or provided to third parties for commercial purposes
- Participation in research does not guarantee access to the platform, any particular features, or any specific pricing
3.2 Waitlist participation
By joining the Audition Atlas waitlist, you acknowledge and agree that:
- Joining the waitlist does not guarantee access to the platform or any specific features
- Pricing, features, and launch timelines described on the Website are indicative only and subject to change without notice
- References to "founding member pricing" or "first month free" are statements of current intent and do not constitute a binding contractual offer until confirmed in writing at the time of launch
- We reserve the right to modify, delay, or cancel the platform launch without liability to waitlist members
- You may remove yourself from the waitlist at any time by contacting privacy@auditionatlas.com
4. Intellectual property
4.1 Our intellectual property
All content on the Website, including but not limited to the Audition Atlas name, logo, brand identity, design, text, graphics, software, and the concept of the platform as described, is the exclusive intellectual property of Audition Atlas and is protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the Website without our express prior written permission.
4.2 Concept confidentiality
The business concept, features, design, and strategic information described on the Website and in our research materials are proprietary and confidential. By accessing the Website or participating in our research, you agree not to:
- Copy, replicate, or build a substantially similar platform, product, or service based on the concepts disclosed on the Website
- Share detailed descriptions of our proprietary features or business model with third parties who may use them for competitive purposes
- Use information gathered from the Website to develop a competing product during the pre-launch phase or within 12 months following the platform launch
You acknowledge that the Audition Atlas concept, including the anonymous insider reporting feature and the combination of audition listings with hiring transparency data, constitutes valuable proprietary information.
4.3 User submissions
By submitting survey responses or any other content to us, you grant Audition Atlas a non-exclusive, royalty-free, perpetual, worldwide licence to use, reproduce, modify, and incorporate your anonymised submissions into our product development process and research outputs. You warrant that your submissions are your own original responses and do not infringe any third-party rights.
5. Acceptable use
You agree to use the Website and Services only for lawful purposes. You must not:
- Use the Website in any way that violates applicable local, national, or international law or regulation
- Submit false, misleading, defamatory, or fraudulent information through any form or survey
- Attempt to gain unauthorised access to any part of the Website or its underlying systems
- Transmit any unsolicited commercial communications or spam
- Introduce viruses, malware, or other harmful code
- Use automated tools, bots, or scripts to access or scrape the Website
- Impersonate any person or entity or misrepresent your affiliation with any person or entity

To the fullest extent permitted by applicable law, Audition Atlas expressly disclaims all warranties, including but not limited to:
- Warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Website will be uninterrupted, error-free, or free of viruses or harmful components
- Warranties regarding the accuracy, reliability, completeness, or timeliness of any content on the Website
- Warranties that described features will be available upon launch or will function as described
- Warranties regarding pricing, availability, or timeline representations made during the pre-launch phase
Information on the Website regarding audition listings, company hiring practices, and related content is provided for informational purposes only during the pre-launch phase and does not constitute professional advice. Users should conduct their own research before making any decisions about attending auditions or spending money on audition travel.
7. Limitation of liability
To the fullest extent permitted by applicable law, Audition Atlas and its operators, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:
- Loss of profits, revenue, data, goodwill, or business opportunities
- Costs incurred in attending auditions based on information provided through the platform
- Damages arising from reliance on information about whether a company is or is not hiring
- Damages arising from unauthorised access to or alteration of your information
- Damages arising from the conduct of third parties in connection with the Services
- Damages arising from platform unavailability, delay in launch, or modification of planned features
In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Services exceed the total amount paid by you to Audition Atlas in the 12 months preceding the claim, or $100, whichever is greater. This limitation applies regardless of the form of the action and even if we have been advised of the possibility of such damages.
8. Indemnification
You agree to indemnify, defend, and hold harmless Audition Atlas and its operators, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Website or Services; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; or (d) any content or information you submit to us.
9. Anonymous user content and the Insider Hub
Upon platform launch, Audition Atlas will offer an "Insider Hub" feature allowing verified annual subscribers to submit anonymous reports about dance company audition practices. The following terms govern this feature:
- All reports submitted to the Insider Hub must be based on the submitter's genuine first-hand experience
- Submitters must not knowingly submit false, defamatory, or malicious information about any dance company or individual
- Audition Atlas does not verify the accuracy of individual Insider Hub submissions and relies on community corroboration to surface reliable verdicts
- Audition Atlas is not responsible for the content of user-submitted reports and expressly disclaims liability for any inaccurate, incomplete, or misleading information contained in Insider Hub content
- While we implement technical measures to preserve anonymity, we cannot guarantee absolute anonymity in all circumstances, including in response to valid legal process
- We reserve the right to remove any Insider Hub content that we determine, in our sole discretion, to be defamatory, abusive, illegal, or in violation of these Terms
- By submitting Insider Hub content, you represent that your submission reflects your genuine experience and you accept sole responsibility for the accuracy of that content
10. Third-party services
The Website uses third-party services including Netlify (hosting), Formspree (form processing), and Google Fonts (typography). Your use of the Website is subject to the terms and privacy policies of these third-party providers. We are not responsible for the practices of these third parties. Links to third-party websites are provided for convenience only and do not constitute endorsement.
11. Modifications to terms and services
We reserve the right to modify these Terms at any time at our sole discretion. We will post updated Terms on this page with a revised effective date. For material changes, we will make reasonable efforts to notify waitlist members by email. Your continued use of the Website after any changes constitutes your acceptance of the revised Terms. We also reserve the right to modify, suspend, or discontinue the Website or any Services at any time without notice or liability.
12. Termination
We reserve the right to terminate or suspend your access to the Website or Services at any time, without prior notice or liability, for any reason, including if we believe you have violated these Terms. Upon termination, all rights granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnification, and limitations of liability.
13. Governing law and dispute resolution
These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

14. Severability

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Audition Atlas with respect to your use of the Website and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the same subject matter.
16. Waiver
Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any breach of these Terms shall not constitute a waiver of any subsequent breach.
