All content on the Website, including but not limited to the Audition Atlas name, logo, brand identity, design, text, graphics, software, and the concept of the platform as described, is the exclusive intellectual property of Audition Atlas and is protected by applicable copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the Website without our express prior written permission.

In no event shall our total liability to you for all claims arising out of or relating to these Terms or the Services exceed the total amount paid by you to Audition Atlas in the 12 months preceding the claim, or $100, whichever is greater. Upon platform launch, Audition Atlas will offer an "Insider Hub" feature allowing verified annual subscribers to submit anonymous reports about dance company audition practices. The following terms govern this feature:

We reserve the right to terminate or suspend your access to the Website or Services at any time, without prior notice or liability, for any reason, including if we believe you have violated these Terms. Upon termination, all rights granted to you under these Terms will immediately cease. These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, the parties agree to submit to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

15. Entire agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Audition Atlas with respect to your use of the Website and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the same subject matter.

16. Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. A waiver of any breach of these Terms shall not constitute a waiver of any subsequent breach.
